FPV BUILD LTD
Terms & Conditions
Last updated: October 2026
These Terms & Conditions apply to works, services and engagements undertaken by FPV Build Ltd (“FPV Build”, “we”, “us” or “our”), unless otherwise agreed in writing.
By instructing FPV Build to commence work, accepting our quotation, issuing a purchase order, allowing our operatives to commence works on site, or otherwise engaging our services, the client, contractor or subcontractor acknowledges and accepts these Terms & Conditions, subject to any separately agreed written contract.
1. Scope of Works
FPV Build Ltd provides specialist construction services including drylining, partitions, plasterboard systems, suspended ceilings and associated works.
Our works will be carried out in accordance with the agreed quotation, purchase order, drawings, specification, programme and written instructions applicable to the project.
Any work that falls outside the originally agreed scope, quantities, drawings or specification may be treated as a variation or additional work and may be subject to additional charges.
Where quantities are estimated, provisional or subject to site measurement, the final valuation may be adjusted to reflect the actual works completed.
2. Variations and Additional Works
Additional works, revised drawings, additional layers, altered specifications, additional labour, remedial works not caused by FPV Build, return visits, out-of-sequence working, additional access requirements or instructions affecting the agreed scope may be charged separately.
Where practical, FPV Build will seek written instruction or confirmation before carrying out additional work. However, where works are instructed on site by an authorised representative and proceeding is reasonably necessary to avoid disruption or delay, the works may be recorded and valued as additional works or dayworks.
3. Programme, Access and Site Readiness
FPV Build will use reasonable endeavours to meet agreed project programmes.
Our programme and productivity depend on suitable access, completed preceding trades, appropriate working areas, availability of correct materials, accurate drawings and site information, safe working conditions and coordination by the principal or main contractor.
FPV Build will not be responsible for delays or loss of productivity caused by circumstances outside our reasonable control, including:
• incomplete preceding works;
• lack of access;
• incorrect, insufficient or delayed materials;
• revised drawings or late instructions;
• design changes;
• obstruction by other trades;
• unavailable work areas;
• programme changes;
• site shutdowns;
• client or contractor instructions;
• health and safety restrictions;
• events beyond our reasonable control.
Where such circumstances cause additional labour, return visits, disruption, out-of-sequence working or additional supervision, FPV Build reserves the right to submit an additional valuation.
4. Suspension, Postponement and Stand-Down
If works are suspended, postponed or substantially interrupted for reasons outside FPV Build’s control, we reserve the right to review labour allocation, programme dates, remobilisation requirements and associated costs.
FPV Build cannot guarantee that the same labour resources will remain continuously available during an extended stand-down unless agreed in writing.
Where work has already been allocated to FPV Build, any proposed reduction, reassignment or omission of that scope should be agreed with FPV Build in writing.
5. Health & Safety
FPV Build is committed to carrying out all works safely and in accordance with applicable UK health and safety legislation, site rules, approved RAMS and construction industry standards.
Under the Construction (Design and Management) Regulations 2015, contractors must ensure that persons appointed to construction work have, or are obtaining, the appropriate skills, knowledge, training and experience to carry out their work safely. HSE
FPV Build may require appropriate evidence of competence, qualifications, training and certification before allowing any individual to work under our control.
Relevant documents may include, where applicable:
• CSCS or appropriate trade competency evidence;
• health and safety training;
• task-specific certification;
• plant or equipment competency cards;
• asbestos awareness;
• manual handling training;
• working at height training;
• site-specific induction;
• appropriate PPE;
• evidence of insurance where required.
FPV Build reserves the right to refuse or remove from site any operative who does not meet required safety, competency, legal or site standards.
6. Right to Work in the United Kingdom
FPV Build Ltd does not knowingly employ or engage any person who does not have the legal right to work in the United Kingdom.
All employees, workers and individual subcontractors engaged by FPV Build must provide satisfactory evidence of their right to work before commencing work where a right-to-work check is legally required.
UK government guidance requires employers to establish a person’s right to work before employment, using the appropriate online, document or approved identity-checking process. GOV.UK Current government guidance also expressly covers certain individual subcontractor arrangements for prescribed right-to-work checks. GOV.UK
FPV Build reserves the right to refuse access to work, suspend engagement or terminate an engagement where satisfactory evidence of the right to work or required documentation cannot be provided.
Providing false, misleading or fraudulent documentation will result in immediate rejection or termination of the engagement and may be reported to the appropriate authorities where required.
7. Subcontractors and Self-Employed Operatives
Any subcontractor or self-employed operative engaged by FPV Build must comply with FPV Build site procedures, health and safety requirements and all applicable UK legislation.
Before commencing work, FPV Build may require:
• valid right-to-work documentation where applicable;
• UTR and relevant tax information;
• CIS information;
• appropriate identification;
• relevant competency cards and certificates;
• proof of insurance where required;
• bank and payment details;
• emergency contact details;
• acceptance of FPV Build’s subcontractor terms;
• any documents required by the principal contractor or site management.
No subcontractor has an automatic right to commence or continue work with FPV Build simply because they have previously worked with the company.
8. Subcontractor Payment Terms
Unless otherwise agreed in writing, FPV Build’s standard payment terms for subcontractors are 30 to 60 days from the relevant agreed valuation, valid invoice or payment due date, depending on the project and the payment cycle applicable to that engagement.
The specific payment period will be communicated or agreed before or during the engagement and may vary from project to project.
The construction industry commonly operates through contractual payment cycles, and UK construction legislation permits the parties to agree the interval between the due date and the final date for payment, provided the contract contains an adequate payment mechanism. Legislation.gov.uk
FPV Build therefore reserves the right to operate payment terms of up to 60 days where those terms have been agreed or incorporated into the relevant subcontract or engagement.
Where a shorter payment term has expressly been agreed in writing, that agreed term will apply.
Payment may be subject to:
• an accurate and valid invoice;
• approved timesheets where required;
• verification of work completed;
• agreed valuation;
• required CIS information;
• correct bank details;
• completion of required compliance documentation;
• any valid withholding or payment notice permitted by the relevant contract and applicable law.
9. Payments Due to FPV Build
Clients and contractors engaging FPV Build must pay invoices in accordance with the agreed payment terms.
Where no specific payment term has been agreed, UK commercial payment legislation generally provides that payment becomes late 30 days after the later of receiving the invoice or receiving the goods or services. GOV.UK
FPV Build reserves all rights available under the Late Payment of Commercial Debts (Interest) Act 1998, including the right, where applicable, to claim statutory interest and permitted debt recovery costs on overdue commercial debts. Legislation.gov.uk
Current UK guidance states that statutory interest for qualifying business-to-business late payments is 8% plus the Bank of England base rate, unless a different substantial contractual remedy applies. GOV.UK
10. Invoices and Valuations
Invoices and applications for payment must reflect the works completed, agreed quantities, approved dayworks, variations and any other properly chargeable items.
Where works are measured, interim invoices may be subject to subsequent measurement or reconciliation.
Any genuine discrepancy should be raised promptly and supported with sufficient detail to allow it to be reviewed.
11. Materials
Unless specifically stated otherwise, FPV Build quotations may be labour-only.
Where materials are provided by the client, principal contractor or another party, FPV Build accepts no responsibility for delays caused by incorrect, damaged, unsuitable, unavailable or insufficient materials.
Where FPV Build is requested to purchase additional materials, reasonable material, delivery, handling and associated costs may be charged.
12. Quality and Defects
FPV Build will carry out works with reasonable skill and care and in accordance with the applicable drawings, specifications and recognised construction standards.
FPV Build should be given a reasonable opportunity to inspect and, where appropriate, rectify any alleged defect attributed to our workmanship before another contractor undertakes remedial work.
FPV Build will not be liable for defects or damage caused by:
• subsequent trades;
• design faults;
• defective materials supplied by others;
• structural movement;
• unauthorised alterations;
• incorrect information or drawings;
• works outside FPV Build’s scope.
13. Conduct on Site
All persons working under FPV Build must behave professionally and comply with site rules.
FPV Build operates a zero-tolerance approach to serious unsafe conduct, violence, harassment, deliberate damage, intoxication at work or wilful disregard of site safety procedures.
Serious misconduct may result in immediate removal from site.
14. Insurance and Compliance
FPV Build maintains appropriate insurance and business compliance arrangements relevant to its activities.
Details of current insurance policies, certifications, RAMS and other compliance documentation may be provided to clients or principal contractors where reasonably required for a project.
15. Limitation and Responsibility
FPV Build will be responsible only for losses that arise directly from our breach of an applicable contractual obligation and which are reasonably foreseeable, subject to any limitations permitted by law and any specific contractual agreement.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
16. Termination
FPV Build may suspend or terminate an engagement where there is serious or repeated non-payment, unsafe working conditions, unlawful activity, serious misconduct, failure to provide required documentation, material breach of agreed terms or circumstances making continued performance unreasonable or unlawful.
Where reasonably possible, written notice will be provided.
17. Governing Law
Unless otherwise agreed in writing, these Terms & Conditions and any dispute arising from them shall be governed by the laws of England and Wales, and the courts of England and Wales shall have jurisdiction, subject to any statutory right to adjudication or other mandatory procedure applicable to construction contracts.
18. Acceptance of Terms
These Terms may form part of FPV Build quotations, subcontractor engagements, purchase order arrangements and other commercial agreements.
A separate written contract or expressly agreed project-specific terms will take priority where they conflict with these general Terms & Conditions.
